About PrescrYbe
PrescrYbe ("PrescrYbe," "we," "our," or "us") operates a technology platform that facilitates connections between patients and independent licensed clinical partners and licensed pharmacy partners. PrescrYbe is not a medical provider, clinic, or pharmacy. We do not employ licensed clinical staff, practice medicine, issue prescriptions, or dispense medications.
All clinical decisions — including whether to prescribe, what to prescribe, and at what dosage — are made solely by independent licensed providers affiliated with our clinical partners, including OpenLoop Health and its affiliated professional entities. All pharmacy fulfillment is handled by independent licensed pharmacy partners.

Eligibility
You must be at least 18 years of age
You must be located in the United States in a state where services are available
You must provide accurate and complete information in all intake forms and platform communications
Meeting these eligibility requirements does not guarantee that a provider will issue a prescription or that treatment will be approved. A prescription is never guaranteed. All prescribing decisions are at the sole clinical discretion of the reviewing licensed provider.
Platform Services vs. Clinical Services; Telehealth Consent
PrescrYbe provides technology platform services: an intake interface, patient coordination, and communications infrastructure. Clinical services — including provider consultations, prescription issuance, and medical review — are provided by independent licensed clinical partners, including OpenLoop Health and its affiliated professional entities.
Your use of this platform does not establish a provider-patient relationship between you and PrescrYbe. Any clinical relationship is formed exclusively between you and the independent licensed provider who reviews your intake.
Before receiving telehealth services, you must review and agree to the Telehealth Consent, which identifies the professional entities delivering care.
Privacy
Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your information. Health information you submit is transmitted to independent licensed clinical partners subject to HIPAA, whose handling of Protected Health Information is described in their own notices, including the OpenLoop Notice of Privacy Practices.

By accepting these Terms of Use, you understand and agree that PrescrYbe is not acting as a pharmacy, nor does PrescrYbe control or interfere with any such services. You may be entering into a relationship with a pharmacy, pharmacist, and/or pharmacy group. You authorize providers to transmit prescription information to one or more pharmacies for dispensing and shipment as permitted by law. Prescriptions may be transferred among pharmacies for fulfillment, availability, or operational reasons consistent with law. Shipping times are estimates and may vary. Certain medications require refrigeration — you are responsible for receiving shipments promptly and following storage instructions. Some medications may ship in non-child-resistant packaging where permitted; keep all medications out of reach of children.

Prescription Medications and Compounded Drugs
Compounded medications are dispensed by state-licensed pharmacies but are not FDA approved. They are customized formulations prepared by licensed compounding pharmacies at the direction of a licensed prescribing provider, in accordance with applicable federal and state compounding law.
PrescrYbe makes no representations regarding the efficacy, safety, or appropriateness of any specific treatment for any individual patient. Individual results may vary. All treatment decisions rest with the licensed provider. Nothing on this website is a substitute for professional medical advice.
Accuracy of Information
You agree to provide truthful, complete, and accurate information in all health intake forms and platform communications. Providing false or misleading health information may result in clinical harm and is grounds for immediate termination of your platform access. PrescrYbe and its clinical partners are not liable for adverse outcomes resulting from inaccurate information you provide.
Payment; Subscriptions; Automatic Renewal
By providing a payment method, you authorize us (or our payment processor) to charge the total fees for your purchase, plus applicable taxes. Programs are offered on an all-inclusive, cash-pay subscription basis — provider consultations, medication (if prescribed), and shipping are bundled into one transparent price. Services are not billed to insurance, and we do not guarantee reimbursement eligibility (insurance, HSA/FSA, or otherwise). If you enroll in a subscription, you authorize recurring charges to your payment method on the cadence disclosed at checkout until you cancel. To avoid renewal charges, cancel before the cutoff disclosed at checkout prior to your renewal date. Payments are processed by third-party payment processors; we do not store full payment card numbers.
Refunds and Cancellation
If you don't qualify, you don't pay. If a licensed provider determines you are not eligible for treatment after clinical review, you will receive a full refund of amounts paid for that program. You may cancel your subscription at any time by contacting care@prescrybe.health. Except as stated in our Refund Policy or as required by law, all other sales are final.
Promotions
PrescrYbe may from time to time offer promotions, discount codes, referral programs, or similar offers, which may be subject to additional terms. In the event of a conflict between the terms of a promotion and these Terms, the promotion terms will govern with respect to that promotion.
Electronic Communications
By creating an account, you consent to receive electronic communications from PrescrYbe (via email, SMS to a number you provide, or notices posted to the site), including transactional and account notices. You may opt out of promotional messages at any time via the unsubscribe instructions provided. You agree that electronic notices satisfy any legal requirement that communications be in writing, and that your electronic actions constitute your legal signature.
Acceptable Use of the Platform
You may use this website and platform only for lawful, personal, non-commercial purposes and in accordance with these Terms. You agree not to:
Use the platform on behalf of another person or impersonate any person or entity
Attempt to access another user's account or any non-public portion of the platform
Copy, scrape, reproduce, modify, reverse engineer, or create derivative works from the platform or its content
Introduce viruses or other malicious code, or take any action that could disable, overburden, damage, or impair the platform
Use the platform to obtain medication for anyone other than yourself, or to resell or distribute any medication
Use any automated means to access the platform without our prior written permission

All content on this website — including text, graphics, logos, icons, and software — is the property of PrescrYbe and is protected by applicable intellectual property law. You may not reproduce, copy, distribute, or use any content from this site without prior written permission from PrescrYbe.
The PrescrYbe name and logo are trademarks of PrescrYbe and may not be used without our prior written permission. All other names, logos, and marks appearing on this website are the trademarks of their respective owners.
Third-Party Links
This website may contain links to third-party websites, including the websites of clinical and pharmacy partners, provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is subject to their own terms and privacy policies.
Termination
We may suspend or terminate your access to the platform at any time, with or without notice, for any reason, including violation of these Terms. Termination of platform access does not affect care relationships you have established with licensed providers or prescriptions already dispensed, and does not relieve you of payment obligations already incurred. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
Disclaimer of Warranties
YOUR USE OF THE WEBSITE AND PLATFORM IS AT YOUR OWN RISK. THE WEBSITE AND PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Limitation of Liability

This includes outcomes of clinical decisions made by independent providers, pharmacy fulfillment issues beyond our reasonable control, or interruptions in platform access. Your use of this platform is at your own risk.
Indemnification
You agree to defend, indemnify, and hold harmless PrescrYbe and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use or misuse of the website or platform.
Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform that cannot be resolved informally will be resolved by binding arbitration administered by JAMS pursuant to its applicable rules, before a single arbitrator, rather than in court. The arbitration will be conducted in the State of Delaware or, where required by law or agreed by the parties, remotely or in the county where you reside. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AND PRESCRYBE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. All claims must be brought in the parties' individual capacity. Any claim must be filed within one (1) year after it arises, or it is permanently barred, unless a longer period is required by applicable law. Nothing in this section prevents either party from seeking relief in small claims court for qualifying disputes or from seeking injunctive relief to protect intellectual property.
Geographic Restrictions
The website is operated from the United States, and the services facilitated through the platform are available only to individuals located in the United States in states where services are offered. If you access the website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
Modifications to These Terms
PrescrYbe reserves the right to update these Terms and Conditions at any time. Changes become effective upon posting to this page. Continued use of the platform following any update constitutes acceptance of the revised terms.
Governing Law
These Terms and Conditions are governed by the laws of the State of Delaware, without regard to conflict of law provisions.
Waiver and Severability
No failure or delay by PrescrYbe in exercising any right under these Terms operates as a waiver of that right. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cancellation and Refund Policy, and any consents you provide in connection with the services, constitute the entire agreement between you and PrescrYbe regarding the platform and supersede all prior and contemporaneous understandings.
